Terms of Service

Last updated: October 2026

1. Agreement to Terms

By accessing or using NorthGate E-Invoicing, the NorthGateOS API, or any associated digital services provided by NorthGate Digital Services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Description of Services

NorthGate provides cloud-based electronic invoicing transmission, pre-flight validation, and archive services operating in compatibility with the Nigeria Revenue Service (NRS) Merchant-Buyer Solution (MBS).

While NorthGate executes pre-flight integrity checks on invoices (e.g. valid buyer/seller TINs, tax calculations, and required schema fields), the customer remains solely responsible for the legal accuracy, truthfulness, and commercial terms of the goods or services described on all invoices issued.

3. Account Responsibilities & Security

You are responsible for maintaining the confidentiality of your login credentials and API keys. Any action taken using your account or API authentication keys will be deemed to have been authorized by you. You must immediately notify NorthGate of any unauthorized security event or compromise.

4. Service Level & Availability

We work to keep NorthGate E-Invoicing and NorthGateOS available at all times, excluding scheduled maintenance. Any service-level commitment applies only where it is agreed in writing in your subscription agreement. NorthGate is not liable for intermittent delays or outages caused directly by upstream downtime of government systems or public telecommunications infrastructure.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in the Federal Capital Territory, Abuja.
